1. Scope and Acceptance of the Agreement

This Agreement covers the sale, delivery, use, and all associated processes of all digital services (subscription packages, premium features, add-ons, integrations, etc.) offered by EQLEM YAZILIM. By registering on the Platform or purchasing our services, you declare that you have read all the articles and annexes of this Agreement completely, understand its content, and accept to be bound by these terms.

1.1. Binding Nature of the Agreement

This Agreement has been prepared to establish mutual trust between our Company and its users. In case of non-compliance with the rules, EQLEM YAZILIM reserves the right to suspend or completely terminate service delivery or your account.

1.2. Scope of Services

Our services are primarily offered in two main categories:

• Basic Services: Standard services with limited features provided for free or as demo/restricted versions.
• Premium Services: Professional services such as advanced operational modules, integrations, unlimited technical support, and multi-language options offered with paid subscription packages.

1.3. Legal and Legitimate Use

As the User, you undertake to use the services we provide only for legal and legitimate purposes, in accordance with the laws of the Republic of Turkey and international regulations. In case of detection of unlawful use, our Company reserves the right to resort to legal remedies.

2. Sales Process and Payment

2.1. Order Creation and Confirmation

When you wish to purchase services, you place an order by selecting a plan suitable for your business from the relevant "Pricing/Packages" section on the Platform. Once the payment method and billing details are entered and the transaction is completed, your order is automatically approved and the services are defined to your account.

2.2. Fees, Pricing, and Amendment Authority

Service fees and e-document/credit prices are explicitly indicated on the Platform. Payments can be made via credit card (Visa, MasterCard, etc.), bank transfer, or electronic payment systems. EQLEM YAZILIM reserves the right to unilaterally update/increase subscription fees, e-document credit rates, and additional package prices at any time in accordance with changing market conditions, inflation, or technical costs. The new pricing tariff becomes effective from the moment it is published on the Platform and applies to new subscription periods or additional package purchases. No pricing increase will be applied to the current (pre-paid) active period of the User.

2.3. Invoicing

After the payment is completed, the e-invoice is automatically sent to your registered email address. Invoices are delivered digitally in full compliance with the Republic of Turkey e-invoice system.

2.4. Payment Delay and Suspension

In case of payment delay, EQLEM YAZILIM reserves the right to suspend your access to the services. A notification is sent to the user during the delay period; if payment is not made within the specified grace period, service access is temporarily halted. Access will be reactivated immediately once the payment is processed.

3. Delivery

Our Company offers its services over a digital cloud platform, and delivery takes place digitally immediately after payment confirmation. There is no physical shipment. A stable internet connection and an updated web browser are required for the smooth functioning of the services.

4. Right of Withdrawal and Refund Conditions

Pursuant to the Law No. 6502 on Consumer Protection, there is no right of withdrawal for digital content and software services, as delivery is completed instantaneously. However, EQLEM YAZILIM will evaluate refund requests made within 14 days of purchase under conditions where it is verified that the service has not been used at all (no data entry, no invoices created, etc.). Approved refunds are processed without deduction within 30 days.

5. Rights and Obligations of the Parties

5.1. User Obligations

The User commits to provide accurate and complete information, pay billing fees on time, keep the account password confidential, and use the Platform in compliance with the laws.

5.2. Rights and Obligations of EQLEM YAZILIM (SLA and Interruptions)

Our Company shows reasonable diligence to minimize technical malfunctions but does not guarantee absolute uninterrupted or error-free service. EQLEM YAZILIM cannot be held liable for access interruptions caused by scheduled maintenance, cyber attacks, telecommunications infrastructure malfunctions, third-party service provider outages (AWS, Bunny.net, etc.), or force majeure events (natural disasters, war, etc.). The Buyer agrees and undertakes not to request discounts, compensation, or refunds from EQLEM YAZILIM due to such interruptions. Our Company reserves the right to develop, update, modify, or terminate services, and to suspend or close services partially or fully in case of agreement breach.

6. Intellectual Property and Limitation of Liability

All designs, software codes, algorithms, and service content belonging to EQLEM YAZILIM are protected by national and international copyright and intellectual property laws. The purchased service provides the Buyer only with a "license of use"; no copyright, patent, or source code ownership is transferred. The Platform is provided "as is". EQLEM YAZILIM cannot be held responsible under any circumstances for direct or indirect losses (profit or data loss) arising from the use or inability to use the Platform. The periodic export and backup of data are entirely the User's responsibility. The maximum financial liability of EQLEM YAZILIM that may arise from this Agreement (including contractual, tort, or other legal claims) shall not in any event exceed the total net subscription fee actually paid by the User to EQLEM YAZILIM in the last six (6) months prior to the date on which the claimed event occurred.

7. Termination of Agreement and Amendments

In case the User violates any of the terms of this Agreement, delays payments, or engages in activities harmful to the system or other users, EQLEM YAZILIM reserves the right to immediately terminate the Agreement, suspend services, and delete the account unilaterally, without any prior notice and without being liable for compensation. EQLEM YAZILIM reserves the right to update or revise this Agreement at any time. Updated amendments acquire validity from the moment they are published on the Platform or the website. The User is deemed to have accepted the changes by continuing to receive services or use the Platform after the updates.
